CrossFTP Terms and Conditions of Sale
These Terms and Conditions ("Terms") govern the purchase of CrossFTP software licenses and related services offered by Crossworld ("we," "us," or "Crossworld") through the CrossFTP website at http://www.crossftp.com and authorized resellers. By placing an order, completing payment, or receiving a registration code, you ("you" or "Customer") agree to these Terms.
Your use of the software is also governed by the applicable software license agreements. In the event of a conflict between these Terms (which concern the sale and delivery of licenses) and the software license (which concerns installation and use), the software license controls use of the software after delivery.
1. Products and License Term
Crossworld sells electronic licenses for CrossFTP Pro and CrossFTP Enterprise. CrossFTP (foundation edition) is available at no license fee for personal or organizational use, subject to the CrossFTP License Agreement.
Paid licenses are perpetual for the version you purchase: you may continue using that version of CrossFTP Pro/Enterprise after purchase without recurring license fees. Upgrades to future major releases may require a separate purchase unless otherwise stated at the time of order.
CrossFTP Pro/Enterprise is available for a free evaluation period (typically 30 days). If you continue using CrossFTP Pro/Enterprise after evaluation, you must purchase a license. See Purchase & Evaluation for current products and pricing.
2. Pricing and Payment
Prices, license types (single-user, multi-user, Enterprise), and volume discounts are described on the purchase page and related order forms. Unless stated otherwise, licenses are sold on a per-computer (or per licensed copy for multi-user licenses) basis as a one-time fee.
Payment may be made by credit card, PayPal, wire transfer, check, or other methods offered at checkout. Orders placed through our payment partners (for example, ShareIt/MyCommerce) are also subject to those providers' terms. Credit card orders are typically processed immediately.
Crossworld and authorized resellers reserve the right to change prices at any time. Changes do not affect orders already accepted and paid.
3. Order Acceptance and Delivery
When you submit an order, you represent that the information you provide (including name, organization, and email address) is accurate. Registration codes and license keys are delivered electronically, usually by email to the address you supply at purchase, often within 24 hours of successful payment.
You are responsible for installing CrossFTP, entering the registration code, and distributing copies to users covered by your license in accordance with the CrossFTP Pro/Enterprise Registered License. We do not sell or give your email address to third parties for marketing; see our Privacy Policy.
4. Software License
All sales and use of Crossworld software are subject to the applicable software license:
- CrossFTP (foundation) License
- CrossFTP Pro/Enterprise Registered License
- CrossFTP Pro/Enterprise Evaluation License
By downloading, installing, or using the software, you agree to the applicable license. You may not give, transfer, or sell license copies to third parties except as expressly permitted in the registered license.
5. Money-Back Guarantee and Refunds
We offer a 100% unconditional 30-day money-back guarantee on CrossFTP software license purchases made directly from Crossworld or through an authorized Crossworld reseller.
If you paid a license fee and wish a refund within thirty (30) days after purchase, you must return to Crossworld or the applicable reseller, as applicable:
- a copy of the registration code and activation code, if any; and
- a signed Affidavit of De-Installation and Non-Use in the form set forth on the CrossFTP website (contact support@crossftp.com if you need the form).
Upon compliance with these requirements, you will receive a full refund of the license fee paid for that order. Refunds for orders placed through a reseller are handled by that reseller according to its policies, subject to Crossworld's reseller agreements.
6. Authorized Resellers
You may purchase licenses from Crossworld or from authorized Crossworld resellers. Resellers are independent parties; their websites and checkout flows may apply additional terms. Crossworld is not responsible for reseller pricing errors or delivery delays outside our control, but will work with you and the reseller to resolve license delivery issues when possible.
7. Disclaimer of Warranties
CrossFTP/CrossFTP Pro/Enterprise and all accompanying software, files, data, and materials are provided "AS IS" without warranties of any kind, whether express or implied, including without limitation any warranty of merchantability or fitness for a particular purpose. Neither Crossworld nor its affiliates or licensors warrant that operation of the software will be uninterrupted or error-free, or that passwords or encryption will prevent unintended disclosure of information. You assume the entire risk of use of the software.
8. Limitation of Liability
Except to the extent expressly prohibited by applicable law, Crossworld and its affiliates and licensors shall not be liable for any damage or financial loss arising from your purchase or use of CrossFTP software. Any liability of Crossworld relating to a paid license is limited exclusively to refund of the license or registration fee you paid to Crossworld for that license. Except to the extent prohibited by applicable law, Crossworld shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages, including loss of data, profit, revenue, business opportunity, or business interruption, even if advised of the possibility of such damages.
Crossworld does not authorize use of CrossFTP in applications or systems where failure of the software could reasonably be expected to result in significant physical injury, loss of property, or loss of life. Any such use is at your own risk.
9. Privacy
Our collection and use of information in connection with the website and software is described in the Privacy Policy.
10. Governing Law and Disputes
These Terms are governed by the laws of the United States. State courts shall have exclusive jurisdiction, forum, and venue to resolve disputes arising out of or relating to these Terms or your purchase, and you consent to personal jurisdiction and venue in such courts.
11. Changes to These Terms
Crossworld may modify these Terms at any time by posting an updated version on this page. Material changes apply to orders placed after the effective date of the update. Please review this page periodically.
12. General
These Terms, together with the applicable software license and Privacy Policy, constitute the agreement between you and Crossworld regarding the sale of licenses described here and supersede prior understandings on that subject. If any provision is held invalid, the remainder remains in effect. Failure to enforce a provision is not a waiver of that provision.
You must be 18 years of age or older, or have a parent or guardian accept these Terms on your behalf, to purchase a license.
